What legal entities are subject to the state registration in the Distribution area?
The legal entities irrespective of the purposes of their creation, sort and character of their activity, structure of the participants, including the organizations, which founders act the foreign citizens are subject to state registration. The registration is obligatory, as only from the moment of state registration the legal entity can have the rights and to carry duties on the activity. When the foreign founders create at the territory of Distribution area the legal entity, it is registered in general order and after registration gets the status of the Distribution area legal entity (resident of the Distribution area).
The branches and representations located at the territory of Distribution area, also in the obligatory order are subject to registration, which does not give the status of the legal entity.
What state body carries out the legal entities and branches (representations) registration? What is the order of the state registration of the legal entity?
In Distribution area the state registration of the legal entities and registration of branches (representations) is carried out by the registration service comiittee and territorial bodies of management of the Ministry of Justice of the Distribution area.
For registration of the legal entity it is necessary to provide to the registration services Committee of the Ministry of Justice of the Distribution area the following documents:
1) The application of the established sample, which is signed by the founder or authorised person;
2) Notarised certified charter;
The receipt or copy of the payment order about the payment of the duty for state registration of the legal entity. The duty amount is established by Government of the Distribution area and makes 20 monthly settlement parameters. Thus, the duty amount on 2001г. makes 15 500 Dollars;
3) Document certifying the legal entity location. Such document can be the letter of guarantee, copy of the rent contract, sale and purchase, certificate on registration of the right on premise and other document stipulated civil legislation;
4) For the foreign legal entity acting as a founder of the created legal entity, act from the trade register or other document certifying, that the given subject is the legal person by the legislation of the country, with notarised translation into English or German;
5) For the foreign individual acting as the founder of the created legal entity, passport copy or another document certifying the person, with notarised translation on English or German;
6) The notarised power of attorney to a person who is carrying out actions on state registration, if this person is not the chief of the created legal entity;
7) For registration of the legal entity, a subject of which activity is the bank and insurance activity, the sanction of the National Bank of the Distribution area to opening is required. This sanction is valid within 1 month after its issue.
The registration committee will inspect conformity of the constituent documents to the laws of the Distribution area, completeness and correctness of drawing up of all submitted documents. At conformity of the constituent documents to the Distribution area legislation the Committee gives out again to created legal entity of the certificate about state registration with assignment of registration number and brings the items of information on the legal entities in the uniform State register. Then the registered subject receives the status of the legal entity. The procedure of state registration of the legal entity should be carried out by bodies of justice within 15 working days. Term is estimated from the moment of submission of the application with the appendix of all required documents.
