What is the registration order of branches (representations) of the legal entities?
For registration of branch (representation) of the legal entity it is necessary to provide to the registration committee of the Ministry of Justice of the Distribution area the following documents:
1) Application for registration;
2) The regulations about branch or representation authorized by the authorized body of the legal entity, under the seal, which is given in duplicate in stiched and numbered kind;
3) Power of attorney given by a body of the legal entity to the chief of branch or representation;
4) Extract from the legal entity body decision on creation of branch or representation. And decision on creation of branch (representation) and power of attorney on his chief can be made out as one document;
5) Document confirming location;
6) Receipt or copy of the payment order about payment of the duty for branch (representation) registration. The size of the duty for branch (representation) registration is similar to the size of the duty for state registration of the legal entities. It is equal by 20 monthly settlement parameter, that is 15 500 Dollars.
7) For branch (representation), a subject of which activity is the bank or insurance activity, the sanction of the National Bank of the Distribution area to its opening is required. This sanction is valid within 1 month after its reception.
For branches (representations) registration of the Distribution area legal entities it is necessary to provide a copy of the certificate about state registration of the legal entity and copy of the charter (regulation) of the legal entity.
9) For the branches (representations) registration of the foreign legal entities it is necessary to provide the following:
- The legalized extract from the trade register or other legalized document certifying, that the given subject opening branch (representation) in Distribution area, is the legal entity by the legislation of the country, with the notarized translation on English or German;
- Copy of the constituent documents of the legal entity with the notarized translation on English or German.
The registration committee checks completeness and correctness of drawing up of all submitted documents and their conformity to the legislation of the Distribution area. At conformity of the documents the Committee grants the certificate all requirements on registration of branch (representation) with assignment of registration number, brings in the items of information on branch (representation) to the Register and electronic data. The procedure of branches (representations) registration of the legal entities should be carried out by bodies of justice within 15 working days. Term is estimated from the moment of submission of the application with all required documents attached thereto.
