Chginese Suppliers

Chginese Suppliers hereinafter referred to as “Company”, is established on the basis of the Decision of Board of Directors of the Company with the purpose of maintenance of activity of the Company in territory of the Russian Federation.

The official name of the Chginese Suppliers.
Term of activity of the Chginese Suppliers is limited to the Company’s accreditation period. The Company’s accreditation period may be prolonged.

Clause 2. A legal status of the chginese suppliers.

1. The Chginese Suppliers is established and operates under current legislations of Russia and Greece, constituent documents of the Company, Air Transport Agreement between the Government of the Union of the Soviet Socialist Republics and the Government of Kingdom of Greece from January 22, 1973, and of this Regulations as well.

The Chginese Suppliers is a separate division of the Company.
The Chginese Suppliers is not a legal entity and operates in the name of the Company and on its behalf.
The Company is responsible for all obligations which may arise in connection with activity of the Chginese Suppliers.
The Chginese Suppliers has forms, stamps, and seals.

2. Rights of the Chginese Suppliers.

In addition to rights mentioned in other Clauses of this Regulations and in the current legislation, provided that all limitations imposed by them are duly kept, the Chginese Suppliers has right:
to represent the Company in any Russian organizations, before individuals and legal entities, and in civil, arbitrage and arbitration courts;
to carry on negotiations and to correspond with partners of the Company on the questions concerning the fulfillment of obligations of the Company;
to receive from partners of the Company on behalf of the Company all necessary information concerning the fulfillment of contracts made by the Company;
to make contracts and agreements with partners of the Company on behalf and at the expense of the Company within the limits of the powers given by the power of attorney;
the Chginese Suppliers has also the right to perform any other acts which are not contradictory to provisions of the Regulations and to standards of the current legislation of the Russian Federation.
The Chginese Suppliers may spend the funds it receives from the Company only for maintenance of its own activity.

The funds received from the Company are to be deposited to current accounts of the Chginese Suppliers.

The Chginese Suppliers shall not be engaged in enterprise activity and gain profits from such activity.

The Chginese Suppliers shall not accumulate on its accounts payments which are due to the Company.

3. The Chginese Suppliers shall:
conduct on behalf of the Company marketing research of the air transportations market;
arrange for negotiations with partners of the Company on behalf of the Company;
assist in service of flights;
search after contractors and service companies;
write out tickets and airway bills and keep their records;
submit to the Company monthly report of the Chginese Suppliers’s work for the past month.

Clause 3. Property and the Finance of the Chginese Suppliers.

1. The Chginese Suppliers shall be financed from the funds transferred by the Company for maintenance of the Chginese Suppliers’s activity.
2. Property of the Chginese Suppliers shall be formed from the property of the Company and shall be assigned to the Chginese Suppliers on the basis of right of enjoyment.

Clause 4. Management of the Chginese Suppliers and Control over its Activity.

1. The Chginese Suppliers to be run by Chief Representative, appointed by managing divisions of the Company according to Charter of the Company. The Chief Representative reports to managing divisions of the Company.
2. The Chief Representative operates on the basis of the power of attorney. The power of attorney is subscribed by Director of the Company.
The Chief Representative manages the work of the Chginese Suppliers and is personally responsible for its activity.
The Chief Representative:
runs the operations of the Chginese Suppliers;
allocates duties between employees of the Chginese Suppliers;
is responsible for registration and performance of other actions regarding means of transportation of the Chginese Suppliers;
determines and approves internal labour regulations of the Chginese Suppliers;
issues orders, engages and dismisses personnel of the Chginese Suppliers, gives incentives to them or imposes penalties on them within the limits of his competence.
3. The financial activity of the Chginese Suppliers is controlled by Audit divisions of the Company.

Clause 5. Final Provisions.

1. Accounts, business correspondence and other documents necessary for the activity of the Chginese Suppliers are kept and stored in the Chginese Suppliers subject to the requirements of legislation and resolutions of managing divisions of the Company.
The organization of office-work in the Chginese Suppliers is established by the Chief Representative.
2. Number of employees of the Chginese Suppliers and staff positions are determined by the list of staff approved by applicable divisions of the Company in the order established by the Charter of the Company. Number of non-resident employees of the Chginese Suppliers shall not exceed a limit established by the accrediting body.
Wage scale of officials of the Chginese Suppliers is established by the Company.
3. Accounting and statistical reporting of the Chginese Suppliers are carried out in the order established by legislation of the Russian Federation.
Property transferred to the Chginese Suppliers is kept on the balance of the Company.
4. The Chief Representative decides on the list of data that constitute a trade secret of the Chginese Suppliers and on measures for its protection. The list of data which can not constitute a trade secret is determined by current legislation of the Russian Federation.
5. The Chginese Suppliers stops its activity:
under the decision of the Company;
upon termination of accreditation period of the Company;
in case of liquidation of the Company.
6. If any provision contained herein becomes invalid this shall not affect the other provisions.
Changes and amendments not contradictory to current legislation of the Russian Federation may be included into this Regulations with the obligatory notice of registering body.
7. This Regulations enters into force at the moment of state registration (accreditation) of the Chginese Suppliers.
